Terms of Service
Last updated: 30 July 2026These Terms of Service (“Terms”) govern your access to and use of the TempusRes website and legal practice-management platform (the “Service”). By using the Service you agree to these Terms. If you are using the Service on behalf of a firm, you represent that you are authorised to bind that firm.
1. The Service
TempusRes provides software for time capture, matter management, proforma and invoicing, accounts receivable and payable, reporting and related legal practice-management functions. We may update, add or remove features over time.
2. Accounts & eligibility
- You must provide accurate information and keep your credentials confidential.
- You are responsible for all activity under your account and for your users’ compliance with these Terms.
- You must promptly notify us of any unauthorised use of your account.
3. Acceptable use
You agree not to:
- use the Service unlawfully or in violation of any third party’s rights;
- attempt to gain unauthorised access to the Service, other tenants’ data, or related systems;
- interfere with or disrupt the integrity or performance of the Service;
- reverse engineer, copy or resell the Service except as permitted by law; or
- upload malicious code or use the Service to store or transmit unlawful content.
4. Customer data & ownership
As between the parties, you retain all rights to the data your firm enters into the Service (“Customer Data”). You grant us a limited licence to host, process and transmit Customer Data solely to provide and support the Service. We process Customer Data in accordance with our Privacy Policy and Data Protection commitments.
5. Subscriptions & fees
Access to the Service may be provided under a subscription or other commercial arrangement agreed with your firm. Where fees apply, they are due as set out in your order or agreement, are exclusive of taxes unless stated, and are non-refundable except as required by law or expressly agreed.
6. Intellectual property
The Service, including its software, design and content (excluding Customer Data), is owned by TempusRes and its licensors and is protected by intellectual-property laws. Except for the rights expressly granted here, no rights are transferred to you.
7. Confidentiality
Each party will protect the other’s confidential information and use it only as needed to perform under these Terms. We understand the confidential and privileged nature of legal work and handle Customer Data accordingly.
8. Third-party services
The Service relies on third-party sub-processors (e.g. hosting, storage and email providers) listed on our Data Protection page. Your use of any separately-integrated third-party service is subject to that provider’s terms.
9. Disclaimers
The Service is provided “as is” and “as available”. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. TempusRes is a tool to assist practice management and does not provide legal, accounting or tax advice.
10. Limitation of liability
To the fullest extent permitted by law, TempusRes will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenues or data. Our aggregate liability arising out of or relating to the Service will not exceed the amounts you paid to us for the Service in the twelve months preceding the claim.
11. Indemnification
You agree to indemnify and hold TempusRes harmless from claims arising out of your Customer Data or your breach of these Terms or applicable law, except to the extent caused by our own breach.
12. Term & termination
These Terms apply while you use the Service. Either party may terminate as set out in the applicable agreement or if the other materially breaches these Terms and fails to cure. On termination, your right to use the Service ends; we will make Customer Data available for export for a reasonable period, after which it may be deleted.
13. Changes to the Terms
We may update these Terms from time to time. We will post the updated version here and revise the “Last updated” date; continued use of the Service after changes take effect constitutes acceptance.
14. Governing law
These Terms are governed by and construed in accordance with the laws applicable at TempusRes’s principal place of business, without regard to conflict-of-law rules, and the courts of that jurisdiction will have exclusive jurisdiction, subject to any mandatory rights you have under local law.
